1. Introduction and Acceptance

These Terms of Service (the "Terms") are a legally binding agreement between Xponzy Tech LLC ("Xponzy," "we," "us," or "our"), a limited liability company organized in the United States, and the individual or entity ("you" or the "Client") that registers an account, places an order, or uses any service offered through xponzy.com and our client portal. By creating an account, submitting an order, or using our services, you agree to these Terms together with our Privacy Policy, Acceptable Use Policy, Refund Policy, and Service Level Agreement, which are incorporated by reference.

If you accept on behalf of a company, you represent that you have authority to bind it, and "you" refers to that entity. If you do not agree with these Terms, do not order or use our services.

2. Scope of Services

Xponzy provides technology services designed primarily for small and medium-sized businesses, including:

  • Web hosting and related infrastructure services;
  • Domain name registration, transfer, renewal, and management;
  • Business email and email migration services;
  • DNS management and email security services;
  • Web design and development services;
  • Technical support and managed IT services.

The features, resource allocations, and pricing of each service are described on the relevant order page at the time of purchase; if an order page conflicts with these Terms, the order page prevails for that service. Domain services are additionally subject to the policies of the applicable registry and registrar and to ICANN rules, including dispute resolution policies. You are responsible for keeping domain contact information accurate and responding to verification requests.

3. Third-Party Services

Certain services depend on or relate to products operated by third parties, which remain subject at all times to the terms, pricing, and service levels of their respective providers. Xponzy does not control third-party products and is not responsible for their availability or performance.

3.1 Google Workspace

Our Google Workspace-related services currently consist exclusively of professional services performed by Xponzy: consulting, deployment planning, account and domain configuration, data and email migration, and ongoing technical support for organizations that use Google Workspace. Google Workspace itself is a product of Google LLC, available at workspace.google.com, and is governed exclusively by Google's own terms and service levels.

Xponzy Tech LLC is not currently an authorized Google Workspace reseller and is not a Google partner. Direct resale of Google Workspace licenses will be offered only if and when formal authorization is granted by Google, and any such resale will be governed by separate terms presented at the time of purchase. Nothing in these Terms constitutes an offer to sell Google Workspace licenses before such authorization exists, and nothing on our website implies sponsorship, endorsement, or certification by Google.

3.2 Payment Processors

Payments are processed by independent third-party processors, currently Stripe and PayPal, under their own terms and privacy practices. Xponzy does not store full payment card numbers on its own systems.

4. Accounts and Eligibility

You must provide accurate, current, and complete account information and keep it updated, particularly for billing and domain notices, which are time sensitive. You are responsible for safeguarding your credentials and for all activity under your account until you report a compromise through the support portal at https://xponzy.com/submitticket.php. You must be at least eighteen years old, or the age of majority in your jurisdiction, to open an account.

5. Billing, Renewals, and Payment

Ordering, invoicing, and service management are handled through our WHMCS-based client portal. Unless the applicable order page states otherwise:

  • Invoices are issued through the client portal in advance of each billing cycle.
  • Services renew automatically at the end of each term. To avoid renewal charges, submit a cancellation request through the client portal before the renewal date.
  • Accepted payment methods are those offered at checkout, currently card payments through Stripe and payments through PayPal.
  • Unpaid invoices may lead to reminders, late fees where permitted by law, suspension, and ultimately termination. Reactivation may require payment of all outstanding balances.
  • Domain renewals are subject to registry deadlines; after expiration, recovery may be impossible or require additional redemption fees.
  • Prices may change with reasonable advance notice, effective at your next renewal. Promotional pricing applies to the initial term only unless stated otherwise.

6. Taxes

Fees are exclusive of taxes unless stated otherwise. You are responsible for applicable sales, use, value-added, or similar taxes, other than taxes on our net income. Where we must collect taxes, they will be added to your invoice.

7. Suspension and Termination

You may cancel a service at any time through the client portal; cancellations and refunds are handled under our Refund Policy. We may suspend or terminate a service if: (a) an invoice remains unpaid after its due date; (b) you materially breach these Terms or the Acceptable Use Policy; (c) your use presents a security, legal, or operational risk to Xponzy, our infrastructure, or other clients; (d) required by law or a competent authority; or (e) your account information is false or fraudulent. Where practical we will give notice and an opportunity to cure, but we may act immediately when reasonably necessary.

After termination, your data may be deleted following a reasonable grace period; you are responsible for keeping your own copies. Provisions that by their nature should survive termination, including payment obligations, disclaimers, liability limits, and indemnification, survive.

8. Client Content and Intellectual Property

You retain all rights in the content and data you upload to or transmit through the services ("Client Content") and grant Xponzy a limited, non-exclusive license to host, store, transmit, and process it solely as needed to provide the services. You represent that you have all necessary rights in Client Content and that it does not infringe third-party rights.

Xponzy and its licensors retain all rights in the services, software, systems, documentation, website content, and the Xponzy name and marks; no ownership rights are transferred to you. Deliverables from web development projects are licensed or assigned as described in the applicable project agreement or order page. If you provide feedback, we may use it without restriction or obligation.

9. Disclaimer of Warranties

Except as expressly stated in the Service Level Agreement, the services are provided "as is" and "as available." To the maximum extent permitted by law, Xponzy disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the services will be uninterrupted, error-free, or completely secure. The credits in the Service Level Agreement are your sole remedy for availability shortfalls.

10. Limitation of Liability

To the maximum extent permitted by law: (a) Xponzy will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption, even if advised of the possibility; and (b) Xponzy's total aggregate liability arising out of the services or these Terms will not exceed the fees you actually paid for the specific service giving rise to the claim during the twelve months preceding the event. Where a jurisdiction does not allow certain limitations, liability is limited to the smallest amount permitted by law.

11. Indemnification

You agree to defend, indemnify, and hold harmless Xponzy, its members, managers, employees, and agents from any claims, damages, liabilities, costs, and expenses, including reasonable attorney fees, arising out of: (a) Client Content; (b) your use of the services in violation of these Terms, the Acceptable Use Policy, or applicable law; or (c) your violation of any third-party right.

12. Changes to These Terms

We may update these Terms from time to time. The current version, with its effective date, will always be published on this page, and we will give notice of material changes through the client portal or other reasonable means before they take effect. Continued use after the effective date constitutes acceptance; if you do not agree, stop using the services and cancel in accordance with these Terms.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the U.S. state in which Xponzy Tech LLC is registered, without regard to conflict of law principles, and by applicable U.S. federal law. The parties will first attempt in good faith to resolve any dispute informally; you may reach us through our contact form. Unresolved disputes will be submitted to the courts of competent jurisdiction located in the U.S. state in which Xponzy Tech LLC is registered, and the parties consent to the personal jurisdiction of those courts. Either party may seek injunctive relief where necessary to protect its rights.

14. General Provisions

  • Severability. If any provision is held invalid or unenforceable, it will be enforced to the maximum extent permissible and the remaining provisions remain in full force.
  • Entire agreement. These Terms, the policies incorporated by reference, and the applicable order pages are the entire agreement regarding the services and supersede prior agreements on that subject.
  • Assignment. You may not assign these Terms without our written consent; we may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets.
  • Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, except your payment obligations.
  • No waiver. Failure to enforce a provision is not a waiver of the right to enforce it later.
  • Notices. We may give notice through the client portal or your account contact details; you may notify us through our contact form.
